Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of a business entity ("Customer", "you" or "your"), and Tracer Management Systems Limited ("Joblogic", "we", "us" or "our"), a company registered in England and Wales with company number 03611671, having its registered office at Birmingham B9 4AA, United Kingdom.
By creating an account, accessing the Joblogic platform, using our services, or clicking "I Agree" on our sign-up page, you confirm that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, which is incorporated herein by reference.
If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" and "your" will refer to both the individual and the entity.
We reserve the right to update these Terms at any time. Material changes will be communicated to you via email or an in-app notification at least 30 days before they take effect. Your continued use of the platform after the effective date of any changes constitutes your acceptance of the updated Terms.
Definitions
In these Terms, the following definitions apply:
- "Platform" means the Joblogic software-as-a-service application, mobile applications, APIs, and all associated products and services provided by Tracer Management Systems Limited.
- "Subscription" means the paid licence to access and use the Platform, as set out in the relevant Order Form or online checkout process.
- "Order Form" means any written or electronic document specifying the Subscription plan, number of users, and applicable fees.
- "User" means any individual authorised by the Customer to access and use the Platform under the Customer's account.
- "Customer Data" means all data and information submitted, uploaded, or otherwise made available through the Platform by the Customer or its Users.
- "Confidential Information" means all non-public business, technical, or financial information disclosed by one party to the other in connection with these Terms.
- "Subscription Term" means the period for which the Customer has purchased access to the Platform, as specified in the Order Form.
- "Documentation" means any user manuals, help guides, and technical documentation made available by Joblogic relating to the Platform.
Subscription Plans & Pricing
Joblogic offers several subscription tiers — Standard, Premium, Enterprise, and Joblogic Compliance — each with different feature sets, user limits, and pricing as published on our website or agreed in an Order Form. Pricing is subject to change, and we will provide at least 30 days' written notice before increasing fees on existing subscriptions.
Your subscription entitles you to access the features and user count specified in your chosen plan during the Subscription Term. If you exceed the user limit included in your plan, additional per-user fees may apply at the rates set out in the Order Form or on our current pricing page.
Joblogic reserves the right to introduce new features or adjust existing features across subscription tiers. We will use reasonable efforts to notify you of material changes to features included in your plan.
All prices stated on our website are exclusive of VAT unless otherwise stated. VAT will be charged at the applicable rate for customers in the United Kingdom.
Free Trial Period
Joblogic may, at its sole discretion, offer a free trial period (typically 30 days) during which you can access and evaluate the Platform without charge. All free trials are subject to these Terms.
During the free trial:
- No credit card is required unless explicitly stated during sign-up.
- You will have access to the features specified for that trial, which may be limited compared to paid plans.
- You acknowledge that your Customer Data may be deleted at the end of the trial if you do not convert to a paid subscription.
- Joblogic reserves the right to modify or terminate the free trial offering at any time without prior notice.
At the end of the free trial period, your account will either expire (if no payment method has been provided) or automatically convert to a paid subscription. You will be notified before any charges are applied.
Payment & Billing
Subscription fees are payable in advance on a monthly or annual basis, as selected by you during sign-up or specified in an Order Form. For monthly subscriptions, fees are billed on the same day each month as the initial sign-up date. Annual subscriptions are billed on the anniversary of the start date.
Payment is processed by our authorised payment processors. By providing payment information, you authorise us to charge the applicable fees to your chosen payment method. All payments are non-refundable except as expressly set out in these Terms or required by applicable law.
If a payment fails, Joblogic will attempt to re-process the payment and will notify you by email. If payment is not resolved within 14 days, we reserve the right to suspend access to your account. Access will be restored upon successful payment of all outstanding amounts.
For annual subscriptions, if you cancel during the subscription year, no refund will be provided for the unused portion of the subscription unless required by law. Monthly subscribers may cancel at any time and will retain access until the end of the current billing period.
Joblogic may use a third-party billing service. Any dispute regarding charges should be raised in writing to billing@joblogic.com within 60 days of the charge appearing.
User Accounts & Security
To access the Platform, you must create an account using accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, whether or not authorised by you.
You agree to:
- Use a strong, unique password and update it regularly.
- Notify Joblogic immediately at security@joblogic.com if you suspect unauthorised access to your account.
- Not share your login credentials with any third party outside your organisation.
- Ensure that all Users accessing the Platform under your account comply with these Terms.
- Not create accounts for automated systems without prior written approval from Joblogic.
Joblogic implements industry-standard security measures including encrypted connections (TLS), role-based access controls, and regular security audits. However, you acknowledge that no security measure is infallible and you remain responsible for securing your own credentials.
You may add, remove, or modify User accounts within the limits of your subscription. The Customer is solely responsible for any actions taken by its Users on the Platform.
Acceptable Use Policy
You may use the Joblogic Platform only for lawful purposes and in accordance with these Terms. You agree not to use the Platform:
- To transmit, store, or process any content that is illegal, defamatory, fraudulent, or infringes any third-party intellectual property rights.
- To attempt to gain unauthorised access to any part of the Platform, its servers, or any network connected to it.
- To introduce viruses, malware, ransomware, or any other malicious code.
- To engage in data scraping, harvesting, or automated collection of data from the Platform without our express written consent.
- To impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
- In any manner that could disable, overburden, damage, or impair the Platform or interfere with any other party's use.
- For any unlawful purpose, or to solicit others to perform or participate in unlawful acts.
- To send unsolicited communications (spam) to any person using data obtained via the Platform.
Joblogic reserves the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this Acceptable Use Policy, including without limitation reporting such violations to law enforcement authorities.
Intellectual Property Rights
The Platform, including all software, code, designs, interfaces, databases, documentation, trademarks, logos, and any related materials, is owned exclusively by Tracer Management Systems Limited and its licensors. All rights are reserved. Nothing in these Terms grants you any right, title, or interest in the Platform other than the limited licence expressly set out herein.
Subject to your compliance with these Terms and timely payment of all applicable fees, Joblogic grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Platform during the Subscription Term, solely for your internal business purposes.
You retain full ownership of all Customer Data you submit to the Platform. By uploading Customer Data, you grant Joblogic a limited, worldwide, royalty-free licence to process and store your Customer Data solely for the purpose of providing and improving the Platform services to you.
You acknowledge that any feedback, suggestions, or ideas you provide to Joblogic regarding the Platform ("Feedback") may be used by Joblogic without restriction and without any obligation to compensate you. By providing Feedback, you assign all rights in it to Joblogic.
You must not: reverse engineer, decompile, or disassemble any part of the Platform; create derivative works based on the Platform; copy or reproduce the Platform or its features; or use the Joblogic name, logo, or trademarks without our prior written consent.
Data Protection & GDPR Compliance
The parties acknowledge that in providing the Platform, Joblogic will process personal data on behalf of the Customer. In this context, the Customer is the Data Controller and Joblogic is the Data Processor, as defined in the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
Joblogic will:
- Process personal data only on the documented instructions of the Customer, unless required to do so by applicable UK law.
- Implement appropriate technical and organisational measures to ensure a level of security appropriate to the risk, including encryption of data in transit and at rest.
- Not engage sub-processors without the prior written consent of the Customer, or as permitted under our Data Processing Agreement.
- Assist the Customer in meeting its obligations under the UK GDPR, including responding to data subject requests.
- Delete or return all personal data upon termination of the Agreement, at the Customer's election.
- Make available to the Customer all information necessary to demonstrate compliance with UK GDPR obligations.
Our full Data Processing Agreement and Privacy Policy are available at joblogic.com/privacy and form part of these Terms. By using the Platform, you confirm that your use complies with all applicable data protection laws.
Confidentiality
Each party (as "Receiving Party") agrees to hold the other party's Confidential Information (as "Disclosing Party") in strict confidence and not to disclose such Confidential Information to any third party without the Disclosing Party's prior written consent, except as permitted under these Terms.
Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the Receiving Party; (b) was already known to the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party without reference to the Confidential Information; or (d) is required to be disclosed by law or court order, provided the Receiving Party gives prompt written notice to the Disclosing Party where permitted.
Each party agrees to use the Confidential Information of the other party solely for the purpose of performing its obligations or exercising its rights under these Terms, and to disclose such information only to its employees, contractors, or agents who have a legitimate need to know and are bound by confidentiality obligations no less restrictive than those herein.
The confidentiality obligations in this section shall survive termination of these Terms for a period of five (5) years.
Service Availability & Support
Joblogic will use commercially reasonable efforts to ensure the Platform is available 99.9% of the time in any given calendar month, excluding scheduled maintenance and circumstances beyond our reasonable control ("Force Majeure Events").
Scheduled maintenance will be performed outside peak business hours where possible, and you will be notified at least 24 hours in advance for planned maintenance that may cause service interruptions exceeding 30 minutes.
Technical support is available to all paying subscribers during UK business hours (Monday to Friday, 9:00 AM – 5:30 PM, excluding UK public holidays) via:

Premium and Enterprise subscribers receive priority support queue access and dedicated account management as described in their respective plan documentation. Joblogic does not guarantee specific response times for Standard plan support requests, though we aim to respond to all tickets within 2 business days.
Disclaimers & Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JOBLOGIC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Joblogic does not warrant that: (a) the Platform will be uninterrupted or error-free; (b) all errors or bugs will be corrected; (c) the Platform is free from viruses or other harmful components; or (d) the Platform will meet all of your specific requirements.
The Platform is a software tool designed to support your business operations. Joblogic does not provide legal, regulatory, compliance, accounting, or professional advice. Any decisions made based on information generated by or within the Platform remain the sole responsibility of the Customer.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such cases, our liability will be limited to the minimum extent permitted by applicable law.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JOBLOGIC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM.
In any event, Joblogic's total aggregate liability to you for all claims arising out of or relating to these Terms or the Platform shall not exceed the greater of: (a) the total fees paid by you to Joblogic in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) £500.
The limitations of liability in this section shall apply even if Joblogic has been advised of the possibility of such damages, and notwithstanding the failure of any limited remedy of its essential purpose.
Nothing in these Terms excludes or limits Joblogic's liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited under English law.
Termination & Suspension
Either party may terminate these Terms upon written notice if the other party materially breaches these Terms and fails to cure such breach within 30 days of receiving written notice specifying the breach. Joblogic may also terminate these Terms immediately upon written notice if you: become insolvent or enter administration; cease to carry on business; or engage in behaviour that Joblogic reasonably believes poses a security threat to the Platform or other customers.
Joblogic may suspend your access to the Platform immediately and without notice if: (a) your account payment is overdue by more than 14 days; (b) you materially breach the Acceptable Use Policy; or (c) there is suspected fraudulent or illegal activity on your account. Joblogic will restore access promptly once the relevant issue is resolved.
You may terminate your subscription at any time via your account settings or by contacting our support team. For monthly subscriptions, termination takes effect at the end of the current billing period. For annual subscriptions, termination takes effect at the end of the current subscription year, and no refund is provided for the unused period unless required by law.
Upon termination or expiry of these Terms for any reason:
- Your right to access and use the Platform ceases immediately.
- You must cease all use of the Platform and delete all copies of any downloaded materials.
- Joblogic will retain your Customer Data for a period of 30 days post-termination, during which you may request an export. After this period, Customer Data will be securely deleted, unless we are required to retain it by law.
- All accrued payment obligations remain due and payable.
Sections 8 (Intellectual Property), 10 (Confidentiality), 12 (Disclaimers), 13 (Limitation of Liability), and 15 (Governing Law) shall survive termination.
Governing Law, Dispute Resolution & Miscellaneous
Governing Law: These Terms and any disputes arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
Jurisdiction: The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising from or in connection with these Terms or their subject matter or formation, provided that Joblogic may seek injunctive or other emergency relief in any competent court.
Entire Agreement: These Terms, together with the Privacy Policy, any Data Processing Agreement, and any applicable Order Form, constitute the entire agreement between the parties regarding the subject matter hereof and supersede all prior and contemporaneous agreements, representations, and warranties.
Amendments: Except as set out in Section 1, no amendment or modification of these Terms shall be valid unless made in writing and signed by authorised representatives of both parties. For consumer customers, we will always provide adequate notice of material changes.
Severability: If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Waiver: No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term, and any failure by Joblogic to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. Joblogic may assign these Terms or any of its rights hereunder to a successor entity in connection with a merger, acquisition, or sale of substantially all of its assets.
